ART. 1 – SUBJECT MATTER
These conditions govern the wholesale and retail sale of spare parts, electronic devices, accessories, and refurbished goods.
ART. 2 – NATURE OF THE RELATIONSHIP
Supplies are exclusively made to VAT-registered entities (B2B) or to final consumers within legal limits.
ART. 3 – ORDERS
Orders are considered accepted upon written confirmation, shipment, or invoice issuance.
ART. 4 – PRICES
Prices are net of VAT, Ex-Warehouse, and subject to clerical errors.
ART. 5 – PAYMENTS AND ACCEPTANCE
Payment constitutes full acceptance of these terms. Delivery tracking constitutes legal proof of performance.
ART. 6 – RETENTION OF TITLE
Goods remain the property of SMARTPHONE HOUSE S.R.L. until full payment (Art. 1523 Italian Civil Code).
ART. 7 – DELIVERY AND RISK
Risk passes to the customer upon delivery to the carrier. Claims must be filed within 8 days.
ART. 8 – WARRANTY
Limited to the replacement of defective products. Damage from incorrect assembly is excluded.
ART. 9 – LIMITATION OF LIABILITY
The Company is not liable for indirect damages or loss of profit.
ART. 10 – TAX EXEMPTION
The Customer assumes full responsibility for their own tax compliance.
ART. 11, 12, 13 – TERMINATION AND JURISDICTION
Automatic termination for non-payment. Exclusive Jurisdiction: Naples, Italy.
SELF-DECLARATION AND APPROVAL
The Customer declares to be tax-compliant and specifically approves Articles: 5 (Acceptance), 6 (Title), 7 (Risk), 9 (Liability), 10 (Tax exemption), 12 (Termination), 13 (Jurisdiction).
